Situation
  • AIA created Global Trading Partner Agreement (GTPA) and Global Electronic Collaboration Agreement (GECA) Paper Docs
  • Need for web-based, 'clickable‘, multi-party document acceptance
    • global wide recognition, legal acceptance and validation
  • U.S. court case identified need for standards-based process
    • Court ruled clicking does not communicate assent
    • Offeror must clearly identify that clicking signifies assent
  • U.S. court ruling must be considered when executing web-based contracts, acknowledgements, signatures and business transaction buy-offs
  • Procedures accommodating clickable approach
    • Needed now!

Target
  • Non-refutable electronic document form - Development of a global standard specification for a legally-binding, electronic agreement document produced in a hosted environment.
  • Digital signature or initialization mechanism – to be applied to agreement clauses for final document negotiation process.
  • A standard methodology specification - to cover the process of producing legally binding, non-refutable, electronic agreement documents via a collaborative, web based process.
  • A standard mechanism for authenticating and validating the digital signatories
  • A standard authority for authentication of digital signatories

    • Includes draft work flow of a proposed electronic negotiation and signature process that would be required  for a typical electronic agreement such as the example GTPA

AIA Requirement Timeline
  • 4Q 2005 – Define realistic plan for cooperative AIA and UN/CEFACT standards team development of deliverables
    • Validate planned deliverables and schedule estimates
  • 1Q 2006 – Develop non-refutable, electronic agreement document form (as basis for all work)
  • 2Q 2006 – Define the legal specification for employing digital signatory authentication, individual identification, and authority validation.
  • 3Q 2006 – Investigate and employ a standard recommended solution recognizing the legal specification for applying digital signatures to documents and for authenticating and validating the signatories and the signatory authority
  • 4Q 2006 – Develop standard technical methodology to support web based negotiation process

 AIA Global TPA – Example of Need
  • AIA GTPA is published and available in paper form for Trading Partner used on AIA EXOSTAR and SBAC websites.
  • But, for Supply Chain use (multiple Supplier sign-up), an electronic version and process is beneficial.
  • No standard legal process appears to be in general use
  • Initial UN/CEFACT response from the Chair and Co-Chair of FMG was that this work is definitely timely, beneficial and should be considered for official development into a global standard
    • Gunther Stuhec, TMG chair, indicated that this work proposal is a natural fit  within UN/CEFACT business process methodology.”
    • He suggested we coordinate our proposal with Michael Dill, TBG2 chair.
    • He also suggested parallel submission to TMG, UMM and UBAC groups.
